Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bullwork Automation software platform, websites, and related services (the “Service”), provided by Bullwork Automation (“Bullwork,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Bullwork provides software tools for construction businesses, including project management, estimating, accounting, payroll calculation, document generation, and AI-assisted features. The Service is a tool to help you run your business. You, not Bullwork, are responsible for how you operate your business and for the decisions you make using the Service.

2. Not professional advice

The Service is not a substitute for professional judgment. Bullwork is not your accountant, bookkeeper, attorney, tax advisor, payroll provider, or financial advisor, and nothing produced by the Service — including tax and payroll calculations, financial statements, certified payroll forms, lien waivers, bids, estimates, or AI-generated answers — constitutes legal, tax, accounting, or financial advice. Calculations and documents are estimates and tools that you must independently verifywith a qualified professional before relying on them. You are solely responsible for confirming the accuracy of any figures, documents, or filings.

3. Your responsibilities & compliance

You are solely responsible for: (a) the accuracy and completeness of the data you enter; (b) compliance with all applicable laws and regulations, including tax, wage-and-hour, prevailing-wage, certified-payroll, lien, licensing, and employment laws; and (c) the calculation, withholding, reporting, filing, payment, and remittance of all taxes and the filing or submission of all government documents. The Service does not file or remit taxes, and does not submit forms to any government agency on your behalf unless expressly stated otherwise in writing; it generates documents and files that you review, sign, and submit yourself. Where the Service generates a sworn or certified document (such as a certified-payroll report), you are the party certifying it under penalty of perjury and are responsible for verifying every figure before submission.

4. AI features

Some features use artificial intelligence to assist you (for example, takeoffs, bids, document extraction, cost-coding, and the copilot). AI output is generated automatically, may be incomplete or incorrect, and is provided to assist — not replace — your professional judgment. You must review and verify AI output before relying on or acting on it. Bullwork is not liable for decisions you make based on AI output.

5. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any calculation, document, or output will be accurate, current, or compliant with applicable law.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BULLWORK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, TAX PENALTIES, FINES, OR LOSS OF BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE. BULLWORK’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO BULLWORK FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to indemnify and hold harmless Bullwork from any claims, damages, penalties, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your data, your filings or submissions, your business operations, or your violation of these Terms or applicable law.

8. Data & privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. You grant Bullwork the rights needed to process your data to provide the Service, including processing by our service providers (such as cloud hosting and AI providers) as described in the Privacy Policy.

Improving the Service. You grant Bullwork the right to use aggregated and de-identified data derived from your use of the Service — including cost, pricing, and estimating inputs — to operate, improve, and develop the Service, including its cost data, benchmarks, and the accuracy of its AI features. Aggregated and de-identified data does not identify you, your business, your clients, or your projects, and is not shared in a form that could.

9. Subscriptions & payment

Paid plans are billed in advance on a recurring basis through our payment processor. Plans are seat-based; additional seats are billed as described at checkout. Fees are non-refundable except as required by law. You may cancel at any time; cancellation stops future billing and takes effect at the end of the current period.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or for non-payment. You may export your data before termination; we are not responsible for retaining your data after a reasonable period following termination.

11. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in California, and you consent to their jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be posted here with a new effective date; continued use after changes take effect constitutes acceptance.
